Senior Associate Attorney, Leveraged Finance & Private Credit

Location: Atlanta, GA / Austin, TX / Boston, MA / Charlotte, NC / Chicago, IL / Dallas, TX / Houston, TX / Miami, FL / New York, NY

Salary: $365K – $420K

Experience: 5–7 Years

Advert Code: MLFS272

A sophisticated national finance practice is seeking a Senior Associate with substantial leveraged finance and private credit experience to join a high-performing team handling complex sponsor-backed transactions.

This opportunity is aimed at an attorney who can operate with significant independence, take ownership of transactions, and work directly with financial institutions, private credit funds, BDCs, non-bank lenders, sponsors, and opposing counsel.

The practice handles sophisticated financing structures across multiple industries, including cross-border and multi-currency transactions, providing an excellent platform for an experienced finance lawyer looking to deepen their private credit expertise and move toward greater client and deal leadership.

The Role

The successful candidate will advise on a broad spectrum of leveraged finance and private credit matters, including:

  • Sponsor-backed acquisition financings
  • Private credit and direct lending transactions
  • Multi-lender and syndicated credit facilities
  • Unitranche and first-out/last-out structures
  • Senior, mezzanine, and subordinated debt
  • Cash-flow and asset-based lending facilities
  • Senior-stretch and superpriority revolving facilities
  • Intercreditor and subordination arrangements
  • Preferred equity co-investments and other structured capital solutions
  • Cross-border and multi-currency financings

The practice also handles sophisticated liability management transactions, including uptiers, exchange offers, drop-down transactions, covenant resets, amendments, and waivers.

Associates will be expected to take an active role in drafting and negotiating credit agreements, security documents, intercreditor agreements, commitment papers, and related financing documentation while managing transactions through closing.

Candidates Should Have

  • 5–7 years of significant leveraged finance, private credit, or complex debt finance experience
  • Experience developed within a sophisticated national or large commercial law firm
  • Significant experience representing financial institutions, private credit funds, BDCs, and/or non-bank lenders
  • Strong exposure to sponsor-backed acquisition finance
  • Experience with unitranche and first-out/last-out structures
  • Familiarity with syndicated and multi-lender facilities
  • Knowledge of liability management transactions and associated intercreditor issues
  • Excellent drafting skills across credit, security, intercreditor, and commitment documentation
  • Strong commercial judgment and the ability to understand current financing market terms
  • The confidence to interact directly with clients and opposing counsel
  • The ability to manage fast-moving transactions with substantial independence
  • A JD
  • Previous experience working in a law firm
  • Admission, or eligibility for admission, in an applicable jurisdiction

Opportunity & Culture

This role offers substantial client contact and the ability to take real ownership of sophisticated transactions rather than operating solely in a supporting capacity.

The team works in a fast-paced and commercially focused environment where senior associates are expected to help drive deals forward, exercise judgment, and contribute to client relationships.

The practice values in-person collaboration and operates on a hybrid model with an expectation of regular office attendance. Candidates considering the Boston opportunity should be prepared to reside in the Boston area by the time they join.

Compensation

The anticipated annual base salary range for the listed markets is $365,000–$420,000, with actual compensation determined by experience, qualifications, location, and other relevant factors.
