Location: Florida

Salary: Competitive

Experience: 6–8 Years

Advert Code: MLFS291

A sophisticated corporate practice is seeking an accomplished Senior Corporate M&A & Private Equity Associate to join its Fort Lauderdale team.

This is a compelling opportunity for an experienced transactional attorney ready to operate with significant autonomy, lead complex deals, manage client relationships and supervise junior lawyers while continuing to build a high-level M&A and private equity practice.

The role offers exposure to private equity sponsors, family offices, portfolio companies, founder-led businesses and other corporate clients on sophisticated domestic and international transactions.

The Role

You will take a leading role across the complete transaction lifecycle, handling matters including buyouts, add-on acquisitions, growth equity investments, recapitalizations and exits.

With substantial responsibility for execution and client management, you will be expected to:

  • Lead complex M&A and private equity transactions from initial structuring through signing and closing.
  • Draft and negotiate principal acquisition agreements and other significant transaction documents.
  • Serve as a primary point of contact for clients, providing practical advice on legal, strategic and commercial considerations.
  • Lead high-stakes negotiations and help clients navigate key transaction issues.
  • Coordinate with tax, regulatory, intellectual property, finance and other specialist teams.
  • Supervise, mentor and develop junior associates and paralegals throughout the deal process.
  • Manage post-closing matters, including purchase price adjustments, integration issues and transaction-related disputes.

The practice handles transactions across industries including healthcare, technology, professional services, infrastructure, insurance, education, manufacturing, retail, hospitality and financial services, providing substantial variety and exposure to different commercial environments.

Candidates Should Have

  • 6–8+ years of sophisticated corporate transactional experience, with a substantial focus on M&A.
  • A JD from an accredited law school and previous experience working in a law firm.
  • Experience gained within a leading law firm environment.
  • Admission to the Florida Bar or the ability and willingness to become admitted promptly.
  • Demonstrated ability to independently manage transactions from inception through closing.
  • Strong drafting and negotiation skills, including significant experience with principal transaction agreements.
  • Experience managing client relationships and advising senior business stakeholders.
  • The leadership skills to supervise and develop junior members of a deal team.

Significant experience representing private equity funds and portfolio companies will be particularly attractive, as will experience handling cross-border and multi-jurisdictional transactions.

Career Opportunity

This position provides an experienced associate with the opportunity to move beyond pure execution and develop the broader skills expected of a senior transactional lawyer.

You will have the scope to deepen existing client relationships, develop new connections and establish yourself as a trusted adviser to sophisticated businesses and investors. There is also meaningful opportunity to build a long-term professional network across South Florida and nationally.

The working environment is collaborative and entrepreneurial, with an emphasis on initiative, strong client service and giving experienced attorneys the opportunity to take genuine ownership of their matters.

For a senior associate seeking complex deal flow, significant client exposure, leadership responsibility and continued career progression, this role provides a strong platform from which to take the next step.

The position is full-time and based in Fort Lauderdale.

Competitive compensation and a comprehensive benefits package are offered.
