Requirements

  • Minimum of four years of experience in corporate and securities law, with a strong emphasis on public company representation.
  • Deep understanding of the Securities Exchange Act of 1934 and the Securities Act of 1933.
  • Experience handling SEC filings, including 10-Ks, 10-Qs, and other required disclosures.
  • Demonstrated ability to manage M&A, joint ventures, and commercial transactions involving U.S. privately held companies.
  • Juris Doctor and admission to the New York Bar.
  • Native Italian speaker; working knowledge of additional European languages is a plus.
  • Willingness to travel between the U.S. and Europe.

Lauderdale, this role focuses on representing public and private corporate clients in a range of sophisticated securities and transactional matters.

Key Responsibilities

  • Prepare and review SEC filings and public company disclosures.
  • Advise clients on securities compliance, regulatory matters, and corporate governance.
  • Handle complex M&A and joint venture transactions involving U.S. and international entities.
  • Draft and negotiate commercial contracts and transactional documents.
  • Collaborate with legal teams across the U.S. and Europe, requiring occasional travel.
