Corporate M&A & Private Equity Associate Attorney

Location: Florida

Salary: Competitive

Experience: 2–4 Years

Advert Code: MLFS138

A sophisticated corporate practice is seeking a junior Corporate M&A & Private Equity Associate to join its growing team in Fort Lauderdale.

This opportunity is well suited to an ambitious associate who wants meaningful responsibility early in their career, direct exposure to clients, and the chance to develop across a diverse pipeline of domestic and international M&A and private equity transactions.

The successful candidate will work with private equity sponsors, family offices, portfolio companies, founder-led businesses and other corporate clients on transactions across a broad range of industries.

The Opportunity

You will gain hands-on experience across the full lifecycle of M&A and private equity transactions, including buyouts, add-on acquisitions, growth equity investments, recapitalizations and exits.

Rather than being limited to narrow execution tasks, associates are given opportunities to take ownership of important transaction workstreams under the guidance of experienced senior lawyers.

Your Responsibilities Will Include

  • Drafting, reviewing and negotiating acquisition agreements and ancillary transaction documents.
  • Managing significant due diligence workstreams, including matters involving representations and warranties insurance.
  • Coordinating with tax, employee benefits, real estate and other transactional and regulatory specialists.
  • Working directly with clients throughout transactions.
  • Supporting closing processes, including preparing closing deliverables and monitoring post-closing obligations.
  • Managing multiple active transactions while developing strong project management and commercial skills.

The practice advises clients across sectors including healthcare, technology, professional services, infrastructure, insurance, education, manufacturing, retail, hospitality and financial services, providing associates with exposure to varied deal structures and commercial issues.

Candidates Should Have

  • 2–4 years of M&A, private equity and general corporate experience gained within a national or strong regional law firm.
  • A JD from an accredited law school and previous experience working in a law firm.
  • Admission to the Florida Bar or a willingness and ability to become admitted promptly.
  • Strong drafting, negotiation and transaction-management capabilities.
  • The ability to manage multiple matters effectively in a busy transactional environment.
  • Strong interpersonal skills and the confidence to work directly with clients.
  • A willingness to assume meaningful responsibility while collaborating closely with the wider deal team.

Experience with cross-border transactions and private equity deal structures would be particularly valuable.

Career Development

This position offers a strong platform for a junior associate looking to accelerate their development as an M&A and private equity lawyer.

Associates will have access to sophisticated transactions, experienced deal lawyers and multidisciplinary specialists while developing the drafting, negotiation, project-management and client-facing skills required to progress toward a more senior transactional role.

The culture is collaborative and entrepreneurial, rewarding associates who demonstrate initiative, sound judgment and a genuine commitment to client service. The broader platform also creates opportunities to collaborate with lawyers across offices and jurisdictions.

The position is full-time and based in Fort Lauderdale, offering the opportunity to develop a sophisticated transactional practice from a growing South Florida legal market.

Competitive compensation and a comprehensive benefits package are offered.
