A sophisticated healthcare transactions practice is seeking a Healthcare Transactions Associate to join its expanding national team. The role offers the opportunity to work at the intersection of healthcare, M&A, and private equity, advising clients on complex strategic transactions across a highly active sector.

This is an excellent opportunity for a corporate associate who wants to develop deeper healthcare industry expertise while continuing to build a high-level transactional practice. Nashville, Chicago, and Houston are preferred locations, although additional U.S. offices may be considered.

The Role

The associate will become an integral member of transaction teams advising healthcare businesses, investors, and management services organizations on sophisticated corporate matters.

Responsibilities Will Include

  • Drafting and negotiating acquisition and other transaction documents
  • Advising on healthcare M&A and management services organization transactions
  • Managing legal due diligence processes
  • Coordinating specialist attorneys across regulatory and transactional workstreams
  • Managing significant components of transactions from initial diligence through closing
  • Supervising and developing junior associates
  • Working directly with senior attorneys and clients on strategically important matters
  • Supporting complex transactions involving healthcare businesses and investors

The position provides substantial exposure to both the legal and commercial considerations driving transactions across the healthcare industry.

The Opportunity

Associates will join a collaborative national platform with access to sophisticated matters and experienced healthcare transactional attorneys. The role provides a strong environment for developing sector-specific expertise while expanding broader corporate and M&A capabilities.

For attorneys interested in healthcare investing, the position also offers valuable exposure to transactions involving private equity and other financial sponsors.

Associates can expect meaningful responsibility, opportunities to manage increasingly significant portions of transactions, and a clear platform for continued professional development and advancement.

Candidate Profile

Candidates should have 2–6 years of substantive corporate and M&A experience, with immediately transferable transactional skills. Previous healthcare transactional experience is strongly preferred, while private equity experience would be an additional advantage.

Candidates must have a JD and previous experience working in a law firm.

Strong drafting and negotiation skills, excellent organizational and project-management capabilities, sound commercial judgment, and close attention to detail are important. Candidates should also be comfortable coordinating multiple workstreams and operating effectively within fast-moving deal teams.

Applicants must be admitted to practice, or eligible to become admitted, in the jurisdiction where they will be based.

The position operates on a hybrid model, with attorneys expected to work from the office at least three business days per week.
