M&A & Energy Transactional Associate Attorney

Location: Texas

Salary: Competitive

Experience: 3–5 Years

Advert Code: MLFS264

A sophisticated corporate transactions practice is seeking a mid-level associate with 3–5 years of experience to join its Houston team. This is a strong opportunity for an attorney who wants broad exposure across M&A, private equity, energy transactions, cross-border deals, and general corporate matters rather than being confined to a narrowly defined transactional practice.

The successful candidate will work on complex domestic and cross-border transactions for private equity sponsors, independent sponsors, public and private companies, and other sophisticated corporate clients. Matters span a variety of industries, with particularly strong exposure to the power, renewable energy, oil and gas, and broader energy sectors.

Associates will be involved throughout the transaction lifecycle, from initial structuring and due diligence through negotiation, execution, and closing. The role offers meaningful responsibility on significant deals while providing the opportunity to develop both broad corporate transactional capabilities and specialist experience in high-demand areas.

Responsibilities will include advising on mergers, acquisitions, divestitures, joint ventures, private equity investments, platform acquisitions, add-on transactions, and other business combinations. Associates will also have the opportunity to work on acquisitions and dispositions of energy assets, project development matters, and other strategic transactions involving the energy industry.

The position will involve drafting and negotiating purchase agreements, ancillary documents, closing materials, and other key transactional instruments, as well as coordinating due diligence and working closely with lawyers across complementary practice areas.

The team places a strong emphasis on collaboration, mentorship, and associate development. For an attorney seeking to become a versatile deal lawyer, the breadth of the practice provides exposure to different transaction structures, industries, clients, and commercial considerations while allowing associates to take on increasingly substantive client-facing responsibility.

Candidates Should Have

  • 3–5 years of corporate transactional experience
  • Significant experience with M&A and other sophisticated corporate transactions
  • Previous experience working in a law firm, ideally within a sophisticated national or large-law-firm environment
  • Demonstrated experience drafting and negotiating core transaction documents
  • Strong writing, analytical, and commercial judgment
  • Excellent interpersonal and oral communication skills
  • The ability to work directly with both legal and business teams
  • Private equity experience is highly attractive
  • Experience involving power, renewable energy, oil and gas, or other energy transactions is beneficial but not required
  • An interest in using modern legal technology to improve transaction execution and efficiency
  • A JD
  • Admission to the relevant state bar, or eligibility for admission

This role is particularly attractive for an associate who wants to build a well-rounded corporate practice with genuine crossover between traditional M&A, private equity, and sophisticated energy transactions while working on complex and commercially significant deals.
